Terms of Service

These Terms of Service govern your access to SolidusGrid Ltd’s infrastructure, verification, and human-in-the-loop services. By engaging with us, you accept the terms outlined below and any additional statements in your service agreement or statement of work. SolidusGrid Ltd is headquartered in Chișinău, Republic of Moldova and operates under Moldovan corporate and data protection law.
Services & Onboarding
We deliver managed human verification, trust & safety operations, and data annotation services per mutually agreed scopes. Onboarding typically includes discovery, workflow definition, security review, and pod training with measurable KPIs and escalation paths.
Fees & Payment
Fees are set out in the Master Services Agreement or order form. Invoices are due within 14 days unless otherwise agreed. Late payments may incur interest at the statutory rate.
Use Restrictions
- You will not circumvent monitoring controls or intend to misuse services for unlawful purposes.
- Clients must supply accurate data, document retention expectations, and respect confidentiality obligations.
- We reserve the right to suspend services if there is a compliance or security concern until the issue is resolved.
Service Levels & Reporting
Standard SLAs cover accuracy, turnaround, and incident response. Monthly performance reviews and dashboards make metrics visible, and remediation plans are co-created for any SLA breaches.
Intellectual Property & Confidentiality
Each party retains its pre-existing IP. Deliverables produced for you are licensed under a worldwide, royalty-free license for internal use. All shared data, workflows, and trade secrets remain confidential and are protected by contractual NDA clauses.
Limitation of Liability & Indemnity
Services are provided “as-is.” To the extent permitted by law, SolidusGrid’s aggregate liability is capped at the total fees paid in the prior 12 months. Neither party is liable for indirect, incidental, or consequential damages. You agree to indemnify us from third-party claims arising from your misuse of the services or failure to comply with applicable laws.
Termination & Suspension
Either party may terminate for material breach after providing written notice and a cure period. Upon termination, we will cease processing and either return or delete client data per the DPA.
Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Moldova. Disputes are escalated through a collaborative resolution process and, if unresolved within 30 days, either party may pursue proceedings in the competent Moldovan courts.
